4. User Conduct and Prohibited Activities

4.3 Enforcement

5. Intellectual Property Rights

  • The User Content complies with these Terms and all applicable laws
  • You have obtained all necessary permissions and consents
  • The User Content is accurate and not misleading

We reserve the right, but have no obligation, to monitor, review, screen, post, remove, modify, store, and use User Content at any time and for any reason, including to ensure that User Content conforms to these Terms, without prior notice to you.

7. Payment Terms and Billing

7.1 Paid Services

Certain features of the Service may be provided for a fee or on a subscription basis ("Paid Services"). You agree to pay all fees associated with Paid Services according to the pricing and payment terms presented to you at the time of purchase.

7.2 Payment Information

You must provide current, complete, and accurate billing and payment information. You authorize us to charge your chosen payment method for all fees incurred. If automatic billing fails, we will notify you and may suspend your access to Paid Services.

7.3 Pricing and Fee Changes

We reserve the right to change our pricing for Paid Services at any time. We will provide reasonable advance notice of pricing changes. Your continued use of Paid Services after the pricing change constitutes your acceptance of the new pricing.

7.4 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental charges. You are responsible for paying all taxes associated with your purchase, except for taxes based on our net income.

7.5 No Refunds

Unless otherwise required by law or expressly stated in your subscription plan, all payments are non-refundable. We do not provide refunds or credits for partial months or years of service, unused features, or unused time when you terminate your account.

8. Subscription and Cancellation

8.1 Subscription Terms

Paid Services may be offered on a subscription basis with recurring billing at the interval you select (monthly, annually, etc.). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

8.2 Automatic Renewal

By subscribing to a Paid Service, you authorize us to automatically charge your payment method at the beginning of each billing period. You will be charged the then-current rate for your subscription plan.

8.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will take effect at the end of your current billing period. You will retain access to Paid Services until the end of your paid period.

8.4 Free Trials

We may offer free trials of Paid Services. When a free trial ends, you will automatically be charged for the subscription unless you cancel before the trial period expires. We reserve the right to limit or discontinue free trials at any time.

9. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Laravel Inc.. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

9.1 Third-Party Integrations

The Service may integrate with third-party services. Your use of these integrations is subject to the terms and conditions of those third-party services. We are not responsible for the actions or omissions of third-party services.

9.2 No Endorsement

The inclusion of any link does not imply endorsement, approval, or recommendation by Laravel Inc.. You acknowledge and agree that we are not responsible or liable for any damage or loss caused by your use of any third-party content, goods, or services.

9.3 Your Responsibility

You access third-party websites and services at your own risk. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or use.

10. Disclaimers and Limitations of Liability

10.1 "AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Laravel Inc. does not warrant that:

  • The Service will function uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results obtained from the Service will be accurate or reliable
  • The quality of products, services, or information obtained will meet your expectations

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LARAVEL INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or relating to the Service shall not exceed the greater of (a) $100 USD or (b) the amount you paid us in the twelve (12) months preceding the claim.

10.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Laravel Inc., its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of these claims. You may not settle any claim without our prior written consent.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, you or Laravel Inc. may bring a formal proceeding.

12.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Texas, United States, before one arbitrator.

The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. Judgment on the award may be entered in any court having jurisdiction.

12.3 Class Action Waiver

YOU AND LARAVEL INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

12.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

13. Termination and Suspension

13.1 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Violation of applicable laws or regulations
  • Requests by law enforcement or government agencies
  • Extended periods of inactivity
  • Engagement in fraudulent or illegal activities
  • Unexpected technical or security issues

13.2 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13.3 Data Retention After Termination

Upon termination, we may delete your account and User Content. We are not obligated to retain any of your data after termination. You are responsible for backing up any data you wish to retain.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by:

  • Updating the "Last Updated" date at the top of these Terms
  • Sending you an email notification (if you have provided an email)
  • Posting a prominent notice on the Service

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Laravel Inc. concerning the Service.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by Laravel Inc..

15.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted transfer or assignment in violation of this section shall be null and void.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Survival

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15.7 Notices

We may provide notices to you via email, regular mail, or postings on the Service. You agree that electronic notices satisfy any legal requirement that such communications be in writing.
